Welcome to the Guidant Financial (“Guidant”) TalentLMS platform (the “Platform”). These Terms of Service (“Terms”) govern your access to and use of https://guidant.talentlms.com/plus/ and all related training modules, materials, documents, videos, and resources (collectively, the “Services”). By accessing or using the Platform, you agree to be bound by these Terms.
- Purpose of the Platform.
The Platform provides educational modules, including but not limited to the Guidant Tax Strategy Course (the “Tax Strategy Course”), designed to help users understand general concepts related to business ownership, corporate structure, tax considerations, and Rollover for Business Startups (“ROBS”) arrangements.
The Platform is intended solely for general informational and educational purposes.
- No Advisory Services; Guidant Is Not Acting in a Professional Advisory Capacity.
Guidant is not a provider of legal, tax, accounting, or investment advisory services. Guidant is not a CPA firm, law firm, tax practice, or registered investment advisor, and no information provided by Guidant should be interpreted as professional advice. All decisions regarding legal, tax, or financial matters should be made in consultation with qualified professionals. Your reliance on any information provided on the Platform is at your own risk.
- General Information Only. Nothing contained on the Platform or in any course, video, written material, presentation, example, template, guide, or communication should be interpreted as: tax advice; legal advice; accounting advice; financial, investment, or estate‑planning advice; or a recommendation tailored to your specific situation. All information is provided for general educational purposes only and may not be accurate, complete, or applicable to your circumstances. - ROBS‑Specific Disclosures.
If you are a Guidant ROBS client:
- The educational content on this Platform does not modify, supplement, or replace your ROBS plan documents, ERISA responsibilities, Department of Labor requirements, or IRS compliance obligations.
- Nothing on the Platform should be construed as individualized guidance on plan administration, plan operations, corporate stock issuance, or ongoing compliance.
- You remain solely responsible for understanding and meeting the legal and administrative requirements associated with your retirement plan and corporate entity.
- No Attorney–Client or Tax Adviser–Client Relationship.
Your use of the Platform does not create any attorney–client relationship, any CPA–client relationship, any fiduciary relationship, or any other advisory or professional engagement. Guidant does not provide any binding opinion, analysis, or interpretation of tax or legal rules.
- Accuracy and Completeness of Information.
While Guidant strives to provide accurate and timely general information, Guidant makes no representation or warranty that: the information is current, complete, or error‑free; that the content applies to your specific circumstances; or that the IRS or legal guidance referenced in materials has not changed. Tax laws, IRS guidance, and regulatory requirements change frequently. You are responsible for verifying all information with a qualified professional.
- User Responsibilities.
By using the Platform, you agree that:
- You will not rely solely on the Platform for any business, legal, tax, compliance, or financial decisions.
- You will seek individualized professional advice where appropriate.
- You will use the Platform only for lawful and educational purposes.
- You will not misuse, alter, or misrepresent Platform outputs.

- Guidant is not responsible for your failure to comply with IRS, Department of Labor, state, or federal regulations.
- Guidant is not responsible for your actions or inactions with respect to tax planning, legal compliance, corporate governance, retirement plan administration, or business operations.
Your use of the Platform is entirely at your own risk.
- Disclaimer of Warranties and Indemnification.
The Platform and all content are provided on an “as‑is” and “as‑available” basis without warranties of any kind, express or implied. Guidant disclaims all warranties, including but not limited to warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, and non‑infringement. Guidant does not warrant that the Platform will be uninterrupted, error‑free, secure, or free of defects.
You agree to indemnify, defend, and hold harmless Guidant and its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your violation of these Terms, or your misuse of any content or materials provided.
- No Guarantee of Results.
Guidant does not guarantee any of the following (but not limited to): tax savings; audit outcomes; QSBS eligibility; legal compliance; business performance or profitability; or any specific financial or operational result. Course participation does not ensure successful implementation of any tax or business strategy.
- Intellectual Property.
All content, materials, features, and functionality provided on or through the Platform—including but not limited to text, videos, courses, templates, guides, graphics, logos, software, and documentation—are the exclusive property of Guidant or its licensors and are protected by applicable intellectual property laws. You may not copy, distribute, modify, reproduce, publish, display, transmit, create derivative works from, or otherwise use any content from the Platform without prior written permission from Guidant.
- Privacy
Your use of the Platform is also governed by Guidant’s Privacy Policy. By using the Platform, you consent to the collection and use of information as described in that policy.
- Governing Law.
This Agreement and any dispute, claim, or controversy arising out of or relating to your use of the Platform shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict‑of‑law principles. You agree that any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in Idaho, and you consent to the personal jurisdiction and venue of those courts.
- Termination of Access.
Guidant may suspend or terminate your access to the Platform at any time, for any reason, without notice.
- Modifications to Terms.
Guidant may update these Terms from time to time. Continued use of the Platform constitutes acceptance of any modifications.
